Terms of Use

Last updated: 2024-06-01 These Terms of Use (“Terms”) govern access to and use of the TokenFlux services, including the public website at tokenflux.ai, the TokenFlux dashboard, APIs, SDKs, and documentation (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you are accepting on behalf of an organization, you represent that you have authority to bind that organization.

1. Account Registration and Security

  • You must be at least 18 years old and capable of forming a binding contract to use the Services.
  • You are responsible for the accuracy of the information provided during registration and for keeping your credentials confidential.
  • You must promptly notify TokenFlux of any unauthorized access to your account or API keys.

2. Acceptable Use

When using the Services, you agree not to:
  1. Violate any applicable laws or regulations.
  2. Infringe or misappropriate the intellectual property or privacy rights of others.
  3. Interfere with or disrupt the security, integrity, or availability of the Services.
  4. Attempt to probe, scan, or test the vulnerability of any system or network without authorization.
  5. Use the Services to develop or deploy harmful content, spam, malware, or automated abuse.
TokenFlux may monitor usage to ensure compliance and may suspend or terminate access for violations.

3. Service Access and Availability

TokenFlux may modify or discontinue features with reasonable notice. We strive to maintain high availability, but the Services may occasionally be unavailable due to maintenance, upgrades, or factors beyond our control.

4. Fees and Payment

  • You agree to pay the fees associated with your plan and usage in accordance with the pricing published at tokenflux.ai/pricing or as otherwise agreed in writing.
  • Unless otherwise specified, all fees are non-refundable.
  • Late payments may result in suspension or termination of Services.

5. Intellectual Property

TokenFlux owns all rights, title, and interest in the Services, including underlying technology and content. Subject to these Terms, TokenFlux grants you a limited, non-exclusive, non-transferable license to access and use the Services. You retain ownership of any content or data you submit through the Services, subject to the rights granted to TokenFlux to operate and improve the platform.

6. Confidentiality

If the parties exchange confidential information, the receiving party will protect it with reasonable care and only use it for the purposes permitted under these Terms. This section does not limit any separate confidentiality agreements between you and TokenFlux.

7. Warranties and Disclaimers

The Services are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory. TokenFlux disclaims all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. You are solely responsible for determining whether the Services meet your requirements.

8. Limitation of Liability

To the fullest extent permitted by law, TokenFlux and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, or goodwill. TokenFlux’s aggregate liability arising out of or relating to the Services will not exceed the amount paid by you to TokenFlux for the Services in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless TokenFlux and its affiliates from any claims, liabilities, damages, losses, and expenses (including attorneys’ fees) arising from your use of the Services, your content, or your violation of these Terms.

10. Termination

You may stop using the Services at any time. TokenFlux may suspend or terminate access if you materially breach these Terms, fail to pay fees, or if continued access would violate law or pose a security risk. Upon termination, your right to use the Services ends, but provisions that by their nature should survive will remain in effect.

11. Changes to These Terms

We may update these Terms from time to time. If changes are material, we will provide reasonable notice via email or through the Services. Continued use after the effective date of updated Terms constitutes acceptance of the changes.

12. Governing Law

These Terms are governed by the laws of the State of California, excluding its conflict-of-law principles. The parties agree to submit to the exclusive jurisdiction of the state and federal courts located in San Francisco County, California for any disputes arising out of these Terms.
